Topox Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Topox website, non-custodial DEX interface, front-end access layer, related applications, features, content, and tools (collectively, the "Interface"). By accessing the Interface, connecting a wallet, creating or accessing an account, submitting an order, or using any feature of the Interface, you agree to be bound by these Terms.
If you do not agree to these Terms, do not access or use the Interface.
Topox is a non-custodial, wallet-based DEX interface. Users control their own assets and credentials. Transactions may be executed through smart contracts, blockchain networks, third-party decentralised trading infrastructure, APIs, SDKs, and related systems. Topox does not take custody of user funds and cannot reverse confirmed on-chain transactions.
1. Acceptance of Terms
By using the Interface, you acknowledge that you have read, understood, and agree to these Terms and any policies, notices, disclaimers, or additional terms referenced in or made available through the Interface, including our Privacy Policy, Cookie Notice, Risk Disclaimer, and any product-specific terms.
We may update these Terms from time to time. When we do, we will update the "Last Updated" date above. Your continued use of the Interface after any changes become effective constitutes acceptance of the revised Terms.
2. Eligibility
- Age and legal capacity: You must be at least 18 years old, or the age of majority in your jurisdiction if higher, and you must have legal capacity to enter into a binding agreement.
- Legal compliance: You are solely responsible for ensuring that your access to and use of the Interface complies with all laws, rules, regulations, restrictions, and tax obligations applicable to you.
- Restricted use: You must not use the Interface if your use is prohibited by applicable law, sanctions rules, regulatory restrictions, court order, or any restriction displayed or implemented by the Interface.
- Entity use: If you use the Interface on behalf of a company, organisation, or other legal entity, you represent that you are authorised to bind that entity to these Terms.
3. Nature of the Interface
Topox provides a non-custodial DEX interface and front-end access layer for accessing perpetual markets through integrated decentralised trading infrastructure and selected ecosystem partners.
The Interface may integrate with or rely on third-party decentralised trading infrastructure, shared liquidity systems, orderbook systems, account systems, wallet providers, embedded wallet providers, blockchain networks, RPC providers, analytics tools, authentication providers, oracles, bridges, settlement systems, transaction relayers, and other specialized infrastructure providers.
Some components of the trading process may occur through third-party systems, smart contracts, off-chain matching systems, APIs, SDKs, liquidity infrastructure, or blockchain networks that Topox does not fully control.
Topox is provided as a technology interface. It does not provide custody, brokerage, investment advice, portfolio management or regulated financial services unless expressly stated. Nothing in the Interface should be treated as financial, legal, accounting, tax, trading or investment advice.
4. Account Access and Authentication
Topox may support one or more methods of access, depending on the features enabled at the time of use.
4.1 Web3 Wallet Access
You may access the Interface by connecting a supported Web3 wallet. When you use a self-custody wallet, your wallet address is your main on-chain identifier. Topox does not ask for, store, or control your private key, seed phrase, or wallet password. You are solely responsible for securing your wallet, device, browser, and signing environment.
4.2 Email, Social, or Embedded Wallet Access
Topox may allow credential-based access, including email login, social login, or embedded wallet access through Web3Auth or similar infrastructure. This may create, link, or enable access to a compatible on-chain account or wallet experience.
When using credential-based access, you are responsible for securing your email account, social login, authentication methods, devices, and any recovery method associated with that access. Topox does not store your seed phrase or private key and cannot guarantee recovery of lost access, lost credentials, compromised accounts, or lost assets.
4.3 Authorisations and Signatures
The Interface may ask you to approve wallet connections, sign messages, authorise account creation, approve token allowances, submit orders, confirm deposits or withdrawals, or approve other actions. You are responsible for reviewing each request before approving it. Any action made from your connected wallet or authenticated account may be treated as authorised by you.
5. Interface Features
The Interface may display, support, or provide access to some or all of the following features through supported infrastructure, depending on availability, network support, third-party infrastructure, jurisdiction, maintenance, and product configuration:
- Perpetual futures trading: Digital asset perpetual contracts with margin, funding, liquidation rules, and market-specific leverage limits.
- Market and limit orders: Order submission tools that may include market orders, limit orders, advanced order settings, reduce-only settings, stop loss, take profit, or other features when available.
- Collateral and margin management: Tools for viewing account balances, collateral, available margin, unrealised PnL, liquidation price, margin mode, and position data.
- Cross and isolated margin: Margin modes may vary by market and infrastructure. Cross margin may use broader account collateral, while isolated margin may assign margin to a specific position.
- Deposits and withdrawals: User-initiated movement of supported assets through supported networks, smart contracts, vaults, or third-party infrastructure.
- Swaps and portfolio tools: Token swaps, account views, portfolio information, transaction history, and related tools, if enabled.
- Rewards, points, campaigns, vaults, and leaderboards: Optional promotional, loyalty, ranking, vault, or campaign features that may be introduced, modified, suspended, or discontinued at any time.
- Demo or testnet features: If offered, demo or testnet balances have no real-world value, are not withdrawable, and may be reset, limited, or discontinued at any time.
Features may differ between networks, markets, wallets, regions, devices, or user access methods. Displayed information may be delayed, incomplete, or affected by third-party infrastructure.
6. Trading Rules and Mechanics
6.1 Orders and Execution
When you place an order, execution may depend on order type, market liquidity, orderbook conditions, market volatility, smart contract state, third-party infrastructure, system load, network confirmation times, gas fees, and other factors. Orders may execute fully, partially, at a different effective price than expected, or not at all.
Market orders are designed for execution speed and may be affected by slippage. Limit orders are designed for price control and may remain unfilled if the market does not reach the selected price or if liquidity is insufficient. Advanced order settings may have additional conditions and risks.
6.2 Leverage, Margin, and Liquidation
Leverage amplifies both gains and losses. A small adverse price movement can result in significant losses, margin depletion, or liquidation. You are responsible for understanding the leverage, margin mode, initial margin, maintenance margin, liquidation price, funding impact, and risk of each position before trading.
If your margin falls below required thresholds, positions may be liquidated partially or fully without prior notice. Liquidation may occur during fast market moves, network congestion, infrastructure issues, or oracle/market data disruptions.
6.3 Funding Rates
Perpetual contracts may involve funding payments between long and short positions. Funding can be positive or negative, may change over time, and can materially affect the profitability or cost of holding a position.
6.4 Market Data
Prices, charts, orderbook data, index prices, mark prices, funding data, open interest, analytics, PnL calculations, estimated fees, liquidation estimates, and other information are provided for informational purposes only. They may be delayed, inaccurate, incomplete, unavailable, or different from final execution or settlement values.
7. Deposits, Withdrawals, and On-Chain Transactions
You are responsible for checking every transaction before approval, including token, amount, chain, destination address, gas fee, wallet prompt, and network compatibility.
Blockchain transactions are generally irreversible. Topox cannot reverse, cancel, recover, or refund transactions after they are confirmed on-chain. Sending assets to an unsupported address, unsupported chain, incompatible smart contract, wrong wallet, wrong network, or malicious address may result in permanent loss.
Deposits and withdrawals may be delayed, fail, remain pending, or require additional time due to network congestion, third-party infrastructure, wallet issues, smart contract state, liquidity availability, bridge conditions, or security checks.
8. Fees and Pricing
Using the Interface may involve maker fees, taker fees, swap fees, liquidation fees, funding payments, network gas fees, bridge fees, third-party infrastructure fees, or other costs. Fees may change at any time and may vary by market, chain, asset, order type, campaign, user status, or infrastructure provider.
Estimated fees may be displayed for convenience, but final costs can differ due to market conditions, network conditions, routing, gas prices, or execution timing. You are solely responsible for all fees, costs, taxes, and charges associated with your transactions and activities.
9. Risk Disclosure
Important Risk Warning
Trading digital assets, derivatives, and perpetual contracts involves substantial risk. You may lose part or all of the collateral used for trading. Do not trade with funds you cannot afford to lose.
You acknowledge and accept the following risks:
- Market risk: Digital asset prices can be extremely volatile and can move rapidly against your position.
- Leverage risk: Leverage can magnify gains and losses and may cause rapid liquidation.
- Liquidity risk: Thin orderbooks or fast markets can cause slippage, partial fills, failed orders, or unexpected execution prices.
- Liquidation risk: Positions may be liquidated automatically when margin requirements are not met.
- Funding risk: Funding payments can reduce profitability or increase the cost of holding positions.
- Technology risk: Smart contracts, wallets, front-end interfaces, APIs, oracles, blockchains, bridges, RPC providers, SDKs, servers, and third-party systems may fail, be exploited, or become unavailable.
- Regulatory risk: Digital asset and derivatives laws may change, and access to the Interface may become restricted or unavailable in certain jurisdictions.
- Transaction finality risk: Confirmed on-chain transactions usually cannot be reversed.
- Account security risk: Loss or compromise of wallets, private keys, devices, email accounts, social logins, or authentication methods may result in loss of access or funds.
Past performance, historical data, backtests, rankings, charts, or leaderboard information do not guarantee future results.
10. No Financial Advice
All information made available through the Interface, including market data, charts, analytics, educational materials, blog content, risk tools, rankings, campaigns, notifications, or examples, is provided for general informational purposes only.
Nothing on the Interface is investment advice, financial advice, legal advice, tax advice, accounting advice, trading advice, or a recommendation to buy, sell, hold, short, use leverage, provide liquidity, deposit collateral, or enter into any transaction.
You are solely responsible for your trading decisions. You should conduct your own research and consult qualified professional advisers where appropriate.
11. User Responsibilities
By using Topox, you agree to:
- Secure your access: Protect your wallet, private keys, seed phrase, passwords, devices, email, social login, and authentication methods.
- Review transactions: Carefully review every wallet prompt, signature request, asset, order, network, amount, fee, destination address, and margin setting before approval.
- Understand the products: Understand perpetual futures, margin, leverage, funding, liquidation, order types, collateral, and fees before trading.
- Comply with laws: Comply with all applicable laws, rules, sanctions, regulations, reporting requirements, and tax obligations.
- Provide accurate information: Provide accurate and current information when required for authentication, support, compliance, or notices.
- Maintain records: Keep your own records of transactions, trades, fees, taxes, and account activity.
- Use the Interface responsibly: Do not use the Interface in a way that harms other users, the Interface, third-party services, blockchain networks, or market integrity.
12. Prohibited Conduct
You agree not to, directly or indirectly:
- Use the Interface for unlawful purposes, sanctions evasion, fraud, money laundering, terrorist financing, market abuse, or other prohibited activity.
- Use the Interface if you are located in, organised in, resident in, or otherwise subject to a jurisdiction where your use is prohibited or restricted by law or by the Interface.
- Manipulate markets, spoof, wash trade, front-run, abuse orderbooks, exploit oracle behavior, coordinate abusive trading, or interfere with fair market operation.
- Attack, probe, disrupt, overload, reverse engineer, scrape, crawl, copy, bypass, or interfere with the Interface, smart contracts, APIs, SDKs, accounts, networks, or infrastructure, except where expressly permitted by law.
- Circumvent geo-blocking, sanctions screening, access controls, risk controls, compliance controls, wallet restrictions, or security measures.
- Use bots, scripts, automation, or high-frequency activity in a way that harms the Interface or other users, unless such use is expressly permitted.
- Submit false, misleading, or inaccurate information to the Interface or to any third-party provider.
- Infringe the intellectual property, privacy, security, or contractual rights of Topox, users, or third parties.
13. Third-Party Services and Infrastructure
The Interface may rely on third-party services and infrastructure, including but not limited to decentralised trading infrastructure, blockchain networks, wallet providers, Web3Auth or similar embedded wallet providers, RPC providers, node providers, analytics providers, cloud hosting providers, market data providers, oracles, bridge providers, transaction relayers, smart contracts, indexing services, customer support tools, and other technology providers.
Third-party services are not fully controlled by Topox. They may be unavailable, inaccurate, delayed, discontinued, compromised, restricted, or subject to their own terms, policies, fees, outages, security incidents, or legal requirements.
You use third-party services at your own risk. Topox is not responsible for losses, delays, errors, failures, vulnerabilities, exploits, downtime, data issues, transaction failures, or other issues caused by third-party services or infrastructure.
14. Privacy and Cookies
Topox may process limited information necessary to operate, secure, improve, analyse, and support the Interface, including wallet addresses, on-chain transaction data, technical information, device and usage data, email login data, authentication data, cookies, analytics data, and support communications.
Topox uses Google Analytics and may use cookies or similar technologies to understand how users interact with the Interface, improve functionality, measure performance, detect issues, and protect the Interface. Non-essential cookies and analytics may be subject to user consent or cookie preferences where required by applicable law.

15. Campaigns, Points, Rewards, Vaults, and Leaderboards
Topox may offer campaigns, points, rewards, vaults, leaderboards, promotional programmes, or similar features. These features may be experimental, discretionary, time-limited, restricted by region, subject to additional rules, or changed at any time.
Points, rankings, rewards, badges, campaign status, or other promotional metrics do not create ownership rights, financial rights, guaranteed payments, guaranteed token allocations, investment returns, or any entitlement unless expressly stated in official programme terms.
Topox may modify, suspend, disqualify, reverse, recalculate, or remove campaign activity where it suspects abuse, manipulation, sybil activity, wash trading, technical error, policy violation, or unfair behaviour.
16. Suspension, Restrictions, and Termination
Topox may, with or without notice, restrict, suspend, block, limit, or terminate your access to the Interface or front-end interface if we believe it is necessary for legal compliance, sanctions compliance, security, risk management, abuse prevention, maintenance, suspected violation of these Terms, third-party requirements, or protection of the Interface or users.
Such restrictions may include limiting access from certain jurisdictions, blocking specific wallet addresses in the interface, restricting certain features, disabling credential-based access, or removing access to campaigns or rewards.
Restricting front-end access does not necessarily affect autonomous smart contracts, blockchain records, or positions that exist outside the front-end. Topox cannot guarantee the ability to unwind, close, recover, or modify on-chain transactions or positions.
17. Changes to the Interface
We may modify, suspend, discontinue, replace, remove, or limit any part of the Interface at any time, including markets, assets, order types, networks, margin modes, leverage limits, fees, campaigns, rewards, vaults, points, leaderboards, user interface elements, analytics, APIs, and integrations.
We may introduce alpha, beta, experimental, or limited-access features. Such features may be incomplete, unstable, inaccurate, discontinued, or subject to additional terms. Your use of experimental features is at your own risk.
18. Intellectual Property
The Topox website, interface, branding, design, text, graphics, logos, trade names, software, databases, documentation, and related front-end materials are owned or licensed by Topox or its contributors/licensors and are protected by applicable intellectual property laws.
You receive a limited, revocable, non-exclusive, non-transferable right to access and use the Interface for your own lawful use in accordance with these Terms. You may not copy, modify, distribute, sell, license, exploit, or create derivative works from the Interface or its content except where expressly permitted.
Any open-source components, if applicable, are governed by their respective open-source licences. Topox branding, logos, and trademarks remain protected and may not be used without permission.
19. Disclaimer of Warranties
THE INTERFACE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPOX DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, AND UNINTERRUPTED OPERATION.
WE DO NOT WARRANT THAT THE INTERFACE, SMART CONTRACTS, THIRD-PARTY INFRASTRUCTURE, MARKET DATA, TRADING FEATURES, WALLET CONNECTIONS, ANALYTICS, OR ANY CONTENT WILL BE ACCURATE, COMPLETE, SECURE, ERROR-FREE, AVAILABLE, OR SUITABLE FOR YOUR PURPOSES.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPOX AND ITS CONTRIBUTORS, DEVELOPERS, SERVICE PROVIDERS, INFRASTRUCTURE PARTNERS, LICENSORS AND RELATED PERSONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR SIMILAR DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, LOSS OF BUSINESS OPPORTUNITY, TRADING LOSSES, LIQUIDATION LOSSES, LOSS OF ASSETS, OR BUSINESS INTERRUPTION.
TOPOX SHALL NOT BE LIABLE FOR LOSSES ARISING FROM MARKET VOLATILITY, LEVERAGE, LIQUIDATION, FUNDING PAYMENTS, FAILED OR DELAYED TRANSACTIONS, USER ERROR, WALLET COMPROMISE, LOST CREDENTIALS, WRONG NETWORK USE, WRONG ADDRESS USE, SMART CONTRACT RISKS, ORACLE FAILURES, NETWORK OUTAGES, THIRD-PARTY SERVICE FAILURES, SECURITY INCIDENTS, REGULATORY CHANGES, OR EVENTS OUTSIDE OUR REASONABLE CONTROL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF: (A) THE FEES YOU PAID DIRECTLY TO TOPOX, IF ANY, IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) USD 100.
Nothing in these Terms excludes or limits liability or consumer rights that cannot be excluded or limited under applicable law.
21. Indemnification
You agree to indemnify, defend, and hold harmless Topox and its contributors, developers, service providers, infrastructure partners, licensors and related persons from and against any claims, losses, liabilities, damages, penalties, costs, and expenses, including reasonable legal fees, arising out of or related to:
- Your access to or use of the Interface.
- Your violation of these Terms or any applicable law, regulation, sanction, or third-party right.
- Your trading activity, orders, transactions, wallets, credentials, tax obligations, or compliance obligations.
- Your misuse of the Interface or interaction with third-party services.
- Any false, misleading, or inaccurate information you provide.
22. Governing Law and Jurisdiction
These Terms are governed by the laws applicable to the relevant operator, service arrangement, place of access, or other applicable legal framework, except where mandatory consumer protection, data protection, or other applicable laws provide otherwise.
Subject to any mandatory rights you may have under applicable law, any dispute arising out of or relating to these Terms, the Interface, or your use of the Interface may be brought before a competent court with jurisdiction under applicable law.
The availability of the Interface in any country or jurisdiction does not mean that Topox is licensed, registered, authorised, or subject to regulation in that jurisdiction, unless expressly stated by Topox.
23. Entire Agreement and Miscellaneous
These Terms, together with any policies, notices, disclaimers, and additional terms referenced in or made available through the Interface, constitute the entire agreement between you and Topox regarding your use of the Interface.
If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. Failure to enforce any provision is not a waiver of our rights. You may not assign or transfer your rights or obligations without our prior written consent. We may assign or transfer our rights or obligations in connection with a merger, reorganisation, sale of assets, corporate restructuring, or change of control.
You and Topox are independent parties. Nothing in these Terms creates a partnership, joint venture, employment relationship, agency relationship, fiduciary relationship, or franchise relationship.
